The JIAN Group is pleased to announce the successful transaction between Clay Ingels and Trimlite in the sale of their subsidiary, KW Building Products, LLC.
KW Building Products, LLC is a wholesale distributor of doors, windows, and associated building products based in Lexington, Kentucky. KW’s parent company, Clay-Ingels, was founded in 1920 as a supplier of masonry products to builders and remodelers throughout Central Kentucky. Clay Ingels created the KW Building Products subsidiary in 1988 to serve Kentucky building-products dealers with exterior doors. Over the years, KW expanded its offerings to include interior doors, windows, and other related millwork products, and its footprint to the four contiguous states surrounding Kentucky.
“We are excited to join the Trimlite team and leverage their growing scale and presence in the Millwork Industry to strengthen our overall customer experience. Customers can look forward to new products and services as we utilize Trimlite’s manufacturing expertise and the best practices of Trimlite’s millwork distribution partners across North America. At the same time, customers can count on the same dedicated, service-oriented culture we have built to remain in place,” stated Tim Hicks.
Will Hicks and Dennis Steffey will provide continuity in leadership as the VP and General Manager, and VP of Operations, respectively, while remaining shareholders. Tim Hicks will continue with the company, focusing on transition processes and sales retention, and will also remain a shareholder.
“We are pleased that our parent company, Clay Ingels, was diligent in finding the right partner for KW Building Products that will allow us to maintain the culture and legacy that the Chapman Family and my father have built over the last 38 years. It was a tough decision to sell the business, but doing so ensures KW has the scale and capital to continue thriving and providing customers with outstanding service in a consolidating industry,” stated Will Hicks.
The JIAN Group acted as the sole financial advisor to Clay Ingels.
“We selected the JIAN Group as an advisor for this transaction based on their deep industry knowledge and success in representing family-owned businesses across the building products industry,” stated Miles Bell, COO of Clay Ingels. “JIAN exceeded our expectations by assisting with marketing the business, identifying the right buyer, and by leading us through the challenging process of a sale involving a carve-out of the business. The entire JIAN team worked relentlessly in helping us achieve our goals, and I would highly recommend them to anyone seeking a strong advisor.”
